Gold Place Network Terms of Use

1. Acceptance of Service
Gold Place Network LLC. is a New York State corporation located at, 545 Eighth Avenue, New York, NY 10018 and is referred to as "Gold Place", "we" or "our" in this Service Agreement. You confirm you are at least 21 years old. These and other facts you give to Gold Place must be true and correct.
GoldPlace provides its service to you whether or not you are a "member". Both "visitors" and "members" are subject to the following Terms of Service ("TOS"), which may be updated by GoldPlace intermittently without notice to you. In addition, when using particular GoldPlace owned or operated services, you and GoldPlace shall be subject to any posted guidelines or rules applicable to such services, which may be posted and/or updated by GoldPlace. It is very important that you review the following Terms of Service carefully before using the Site. By using or accessing, or continuing to use or access, this site you signify your acceptance of and agreement to these TOS without modification.

2. Description of Service
Gold Place Network service including the website at www.goldplace.net ("Service") offers a place for adults to meet friends on-line, build relationships, share discussion, and view content. The Service is organized locally to help you connect with your community, whether you're looking for a job, or a roommate.
GoldPlace provides users with access to resources, including various communications tools, forums, search services and personalized content through its network. You also understand and agree that membership may include certain communications from GoldPlace, such as service announcements, administrative messages and the Gold Place Newsletter, and that these communications are considered part of GoldPlace membership and you will not be able to opt out of receiving them.
Unless explicitly stated otherwise, any new features that augment or enhance the current membership service, including the release of new GoldPlace services shall be subject to the TOS.
You understand and agree that the Service is provided "AS-IS" and that GoldPlace assumes no responsibility for the timeliness, deletion, misdelivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Service, and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those fees. In addition, you must provide and are responsible for all equipment necessary to access the Service. GoldPlace reserves the right, at any time, to charge fees for access to the Service, and will notify you of any such fees by posting information regarding such fees on the Service.
Please note that this Service Agreement limits our liability and we do not provide warranties for the Service. This Service Agreement also limits your remedies. These warranty disclaimers and limitations are covered in Sections 24 and 25 and we urge you to read them carefully. 3. Your Registration Obligations
GoldPlace is concerned about the safety and privacy of all its users, particularly children. You must be over twenty-one years of age to register for GoldPlace services. By registering as a member, you confirm your acceptance of this agreement and represent and warrant that you are at least twenty-one years of age. Users may not have more than one active account.
You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or GoldPlace has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, GoldPlace has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). You understand and agree that we have no obligation to prescreen, manage, or edit content made available through the service. Membership in the Service is void where prohibited.

4. Monitoring and Disclosure
We may monitor your communications and may disclose content and information about you, including contents of communications, if we deem it reasonably necessary to: (1) conform to legal requirements or respond to legal process; (2) ensure your compliance with this Service Agreement including maintaining this Service and the Code of Conduct; or (3) protect the rights, property, personal safety or interests of Gold Place, its employees, its customers, or the public.

5. Membership Account, Password and Security
You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. Your membership is solely for your individual use and you will not authorize others to use your account, profile, or messages. You are solely responsible for all use of your account including but not limited to content published, messages sent or posted, and interactions with other members, whether or not you have authorized such activities. Additionally, users are prohibited from selling, trading, or otherwise transferring your GoldPlace account to another party.
You agree to (a) immediately notify GoldPlace of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. GoldPlace cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 5.

6. Code of Conduct
The Gold Place Network service ("Service") offers a place to meet friends on-line, build relationships, share discussion, and view member content. By using the Service (whether or not you choose to become a member) you agree to accept this Code of Conduct as part of the Service Agreement as a contract between you and Gold Place Network.

A. Conduct and Content
While using or accessing the Service--directly or indirectly--you agree to take a constructive tone and practice good etiquette and courtesy and you agree NOT to:
a. threaten, disrupt, inflame, intimidate, libel, stalk, defame, or defraud any individual, entity, or group on any basis including but not limited to age, gender, sexual orientation, ethnicity, race, religion or disability or encourage any one else to do so;
b. post, publish, or transmit any text, graphics, or material that is illegal or violates local and national laws or that contains, encourages, advocates, or expresses: obscenity, pornography, sexually explicit conduct, child pornography, the making or buying of illegal weapons or illegal drugs, hatred, bigotry, racism, profanity, vulgarity or gratuitous violence or use of weapons;
c. harm or exploit minors in any way including collecting personally identifiable information, including but not limited to name, email address, home address, phone number, or school;
d. invade privacy by attempting to collect, store, or publish private or personally identifiable information, including but not limited to password, account information, credit card number, address, or other contact information;
e. modify or falsify the source of any content or information, impersonate another individual, GoldPlace representative, or moderator, or falsely state or misrepresent affiliation with a person or entity;
f. disrupt, harm or inappropriately access any computer, network, server or telecommunication system or violate related security or operational procedures, policies or regulations;
g. flood, overload, or mail bomb any mail service or transmit or transfer any harmful or disruptive viruses, worms, computer code, files, or programs;
h. infringe any patent, trademark, trade secret, copyright, or other proprietary rights or violate contractual or fiduciary relationships (such as insider, proprietary, or confidential information);
i. encourage or instruct unauthorized copying or circumvention of copy protection or pirating of intellectual property or content including but not limited to software, music, text, photographs, illustrations, and movies;
j. access restricted, password-only, or hidden pages or images (those not linked to or from another accessible page);
k. distribute or disseminate inappropriate, unauthorized or unsolicited advertising or promotional offers including, but not limited to contests, sweepstakes, barter, junk mail, spam, chain letters, and pyramid schemes;
l. use GoldPlace messages or member profile content to obtain personally identifiable information or to solicit, or sell to any member inappropriately;
m. support or help any organization designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
n. include or create links or otherwise refer to external sites that violate these restrictions;
o. create "trolling" posts (trolling is deliberately posting false or provocative information in order to elicit responses from people who would not respond if they knew the motivation behind the post); or
p. attempt (i) to access or search the Service with any engine, software, tool, agent, device, or mechanism other than the software or search agents provided by GoldPlace or other generally available third party web browsers (such as Microsoft Internet Explorer or Mozilla Firefox); or (ii) to "frame," "mirror" or otherwise copy any portion of the Site without GoldPlace’s express written authorization.

B. Spam Is Prohibited
You will not use the Service to transmit, either directly or indirectly, or facilitate the transmission of any unsolicited bulk or commercial email ("Spam"). We may use filtering technology or other measures to stop incoming Spam. This filtering technology may block some email sent to you through the Service. This may happen even if the email does not violate the Service Agreement.
You will not post content: in inappropriate categories, with excessive frequency; in multiple categories or multiple cities; or with identical or substantially identical text or photography. You will not use unrelated words in content to skew search results.

C. Child Pornography
In no event will you post--or seek--images of children, whether nude, clothed or partially clothed, in association with sexuality, in any area of the Service. GoldPlace will attempt to remove any such postings and prohibits any postings or text containing or referring to child pornography, such as those containing the word "Lolita" or referring to nude photographs of "girls," "teens" or "children." In the event that GoldPlace discovers child pornography or images of children in violation of this policy, GoldPlace will promptly notify the National Center for Missing and Exploited Children and the appropriate law enforcement agency.

D. Violation
While we retain the right to cancel or suspend your Service at any time without cause or notice, we consider the following to be a reasonable basis for termination: suspected violations of the Code of Conduct, this Service Agreement, or other guidelines; extended periods of inactivity; fraudulent or illegal activities; age misrepresentation; or nonpayment of any fees owed by you.

7.Surveys or Contests
From time-to-time we may provide you the opportunity to participate in contests or surveys on our site. If you participate, we will request certain personally identifiable information from you. Participation in these surveys or contests is completely voluntary and you therefore have a choice whether or not to disclose this information. The requested information typically includes contact information (such as name and shipping address), and demographic information (such as zip code).
We use may use a third party service provider to conduct these surveys or contests; those companies are prohibited from using our users' personally identifiable information for any other purpose. 8. Content
GoldPlace does not claim ownership of content you submit or make available for inclusion on the website. However, you hereby grant, and agree to grant as an effect of posting or otherwise providing content, the following license: to the public, a license for personal non-commercial use; and to Gold Place, a perpetual license to use, copy, distribute, display, perform, and modify any and all content that you post on the Service. This license cannot be withdrawn except that any content deleted from the Gold Place site will terminate the GoldPlace license. Your use of the service is in consideration for this license, we will not otherwise pay you for your content. You represent and warrant that you have not granted and will not grant any rights inconsistent with this license.

9. Content Deletion
We have no obligation to maintain or store your content. We have the right to delete any content for any reason or no reason, including but not limited to service cancellation or violation of the Service Agreement or the Code of Conduct. Once deleted, any content you have stored on the service cannot be retrieved.

10. Limitations
You acknowledge that we may establish limits concerning use of the Service, including the length, number or size of photos, email messages, postings, or other content that are retained, stored, displayed, or transmitted by the Service. We may also limit the frequency with which you may access the Service if it appears excessive or automated. We reserve the right to modify or discontinue the Service (or any part or feature thereof) at any time with or without notice.

11. Access to the Service
With this agreement we grant you access to the Service for personal use. We permit hyperlinks to the Service only for noncommercial use, personal weblogs, or personal online media.
We prohibit access to the Service for data collection, aggregation, mining or extraction. We authorize an exception for general purpose internet search engines and non-commercial public archives that use such tools to gather information for the sole purpose of displaying hyperlinks to the Service, provided they each do so from a stable IP address or range of IP addresses using an easily identifiable agent. This exception excludes websites or search engines that specialize in listings, postings, profiles, discussion groups or subsets such as jobs, housing, for sale, or services, or are in the business of providing ad listing services.

12. Termination
You may cancel the Service at any time, with or without cause or for any reason, by canceling your GoldPlace.net membership.
We may cancel, suspend, or block your access to the Service at any time, with immediate effect. This may be without cause and without notice. Once the Service is cancelled, you will no longer be able to access or retrieve any data you had stored on the Service.

13. Proprietary Rights
GoldPlace owns and retains, to the fullest extent of the law, all rights in the Service including but not limited to copyrighted material, trademarks, patented processes, trade secrets, and other proprietary information. You will not distribute, transmit, transfer, offer, copy, publish, display, modify, or sell, assign, or sublicense any portion of the Service, its code, or any proprietary information on the Service, or any intellectual property or other proprietary right in any of the foregoing. You will not reverse engineer, reverse assemble, or otherwise attempt to discover any source code or proprietary information, or obtain unauthorized access to the Service. The foregoing does not apply to user content.
You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by GoldPlace or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

14. Infringement
If you believe that your work has been used in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please notify GoldPlace at www.goldplace.net/contact or Gold Place Network Inc, 545 Eighth Avenue New York, NY 10011. Provide all of the following in writing: identify the copyrighted work that you claim has been infringed (or if multiple copyrighted works, then a representative list of such works); identify the content on the Service that you claim is infringing with enough detail so that we may locate it; provide a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; provide a statement by you declaring that the notification is accurate, and, under penalty of perjury, that you are the exclusive owner of the copyright interest involved or that you are authorized to act on behalf of the exclusive owner; provide information reasonably sufficient to permit GoldPlace to contact you, such as an address, telephone number, and email address; and your physical or electronic signature.
Upon receipt of notice as described above, GoldPlace will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged use from the website or termination of the posting account.

15. Advertising and Fees
You understand and agree that the Service may include advertisements and commercial listings and that these are necessary for us to provide the Service. You will not obscure these from general view via HTML/CSS or any other means.
Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that GoldPlace shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.
By using the Service and by becoming a Member, you acknowledge that we reserve the right to charge for the Service or a portion of the Service and have the right to terminate a membership for failure to pay for the Service.

16. Indemnity
Members agree to indemnify and hold GoldPlace and its affiliates, officers, agents or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (i) content you submit, post, transmit, or make available through the Service, (ii) your use of the Service, (iii) your connection to the Service, (iv) your violation of the Service Agreement or Code of Conduct, or (v) your violation of any rights of another including but not limited to another's copyright or other intellectual property right.

17. Information Sharing and Disclosure
Whenever you voluntarily disclose personal information on forums, through email, or in chat areas, that information can be collected and used by others. If you post personal information in public places, others may send you unsolicited email messages. Always be smart about the information you provide online.

Your Member profile is password-protected so that you and only you have access to this information. In order to maintain this protection, do not give your password to anyone. Also, we recommend that, if you share your computer with other people, you sign out of your Account and close your browser window when you are done. Signing off will protect your information if you share a computer with someone else or are using a computer in a public place like a library.
We make every effort to ensure that your information is secure on our system. Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, we cannot guarantee the security of any information you transmit to us, and you do so at your own risk.

18. Legal Disclaimer
We reserve the right to disclose your personally identifiable information as required by law and when we believe that disclosure is necessary to protect our rights and/or to comply with a judicial proceeding, court order, or legal process served on our Web site

19. Links to Other Sites
The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because GoldPlace has no control over such sites and resources, you acknowledge and agree that GoldPlace is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that GoldPlace shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
Please be aware that we, GoldPlace, are not responsible for the privacy practices of such other sites. We encourage you to be aware when you leave our site and to read the privacy statements of each and every Web site that collects personally identifiable information. This privacy statement applies only to information collected by this Web site.

20. Bulletin Boards/Chat Rooms
If you use a bulletin board or chat room on this site, you should be aware that any personally identifiable information you submit there can be read, collected, or used by other users of these forums, and could be used to send you unsolicited messages. We are not responsible for the personally identifiable information you choose to submit in these forums.

21. Security

22. Modification to Service and Business Transitions

GoldPlace reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. 23. No Resale of Service
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service (including your GoldPlace ID), use of the Service, or access to the Service.

24. DISCLAIMER OF WARRANTIES
YOU EXPRESSLY UNDERSTAND AND AGREE THAT: A. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GOLDPLACE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

B. GOLDPLACE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

C. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

D. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM GOLDPLACE OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

25. LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT GOLDPLACE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF GOLDPLACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:
(i) THE USE OR THE INABILITY TO USE THE SERVICE;
(ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE;
(iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

26. EXCLUSIONS AND LIMITATIONS
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 17 AND 18 MAY NOT APPLY TO YOU.

27. NO THIRD-PARTY BENEFICIARIES
You agree that, except as otherwise expressly provided in this TOS, there shall be no third-party beneficiaries to this agreement.

28. TRADEMARK INFORMATION
GoldPlace owns and retains all proprietary rights to content on it's Sites, including but not limited to any original text, photographs, video, trademarks, links, compilations, audio, graphics, and other intellectual property. "GoldPlace.net, "GoldPlaceNetwork.net”, "GoldPlaceNetwork.com”, "Gold Place Network," "Gold Place Network LLC.," and the Gold Place logo are trademarks of Gold Place Network. Gold Place Network intellectual property is protected by the laws of the United States and other countries. You acquire absolutely no rights or licenses in or to GoldPlace Network intellectual property or the media or other materials on the Site, except as set forth herein. Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information, or create derivative works from such.
